1. Introduction
Welcome to Veridox, a service provided by Asset Protect Ltd. By accessing or using our platform, you agree to the following terms and conditions ("Terms"). These Terms govern your access to and use of our services. Please read these Terms carefully.
2. Services
Veridox offers AI-powered forensic document and photo manipulation analysis services. Services are available based on a per-upload model. Clients have the option of paying annually or per upload. If the allocated quota is used before the 12-month period, clients will need to renew their contract.
3. Limitations of Liability
We limit our liability to the amount you paid for the service. Veridox will not be held responsible for any damages, including but not limited to, loss of data, business interruptions, or system errors. While we strive to provide accurate analyses, we cannot guarantee 100% accuracy and are not liable for any errors in the results generated by the platform.
4. Warranties and Indemnities
- Limited Warranty: Veridox provides its services on an "as is" basis and makes no guarantees that the services will meet any specific expectations or requirements.
- Indemnity Clause: You agree to indemnify and hold Asset Protect Ltd harmless from any claims, damages, or liabilities arising from your use of our services.
5. Termination of Service
We reserve the right to terminate or suspend accounts for misuse of the platform, including attempts to hack the system or breach legal agreements. We may also terminate accounts for unpaid balances after a 30-day grace period. A 2% late fee plus the UK base rate will apply on outstanding payments.
6. Account and User Obligations
Clients are responsible for maintaining the confidentiality of their account details and agree to notify Veridox immediately of any unauthorised use. Users must comply with all applicable laws when using the platform.
7. Content Ownership and Intellectual Property
- All technology, algorithms, and AI models used by Veridox remain the intellectual property of Asset Protect Ltd. Users are prohibited from reverse-engineering or exploiting these technologies.
- The results generated by Veridox are provided for client use only and cannot be resold or repurposed without express permission from Asset Protect Ltd.
8. Force Majeure Clause
Veridox shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, or government actions.
9. Service Availability
Veridox cannot guarantee continuous availability of its services. Planned maintenance or interruptions may occur, and third-party services integrated into our platform may also impact availability. We are not responsible for any interruptions caused by these third parties.
10. Confidentiality and Nondisclosure
10. 1 Confidential Information
"Confidential Information" includes, but is not limited to, any proprietary or non-public information about Veridox, its designs, functionalities, capabilities, technology, methods of operation, and any related materials provided to you (the Customer) in connection with the use of Veridox.
10.2 Obligation to Maintain Confidentiality
The Customer agrees to keep all Confidential Information strictly confidential and shall not, without prior written consent from Asset Protect Ltd (the provider of Veridox), disclose, share, or make available any part of the Confidential Information to any third party, including but not limited to competitors.
10.3 Prohibition on Reverse Engineering
The Customer shall not attempt to copy, reproduce, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or operational methods of Veridox.
10.4 Nondisclosure to Competitors
The Customer expressly agrees that no Confidential Information will be disclosed to any competitor of Asset Protect Ltd, nor will the Customer use any part of the Confidential Information for competitive purposes or allow any third party to do so.
10.5 Duration of Obligation
These confidentiality obligations shall survive the termination or expiration of the Customer’s use of Veridox and will continue indefinitely until such time as the Confidential Information becomes publicly available through no fault of the Customer.
11. Liability for Third-Party Integrations
Veridox integrates with various third-party applications. Asset Protect Ltd is not liable for any issues or errors caused by these third-party integrations, and users acknowledge that these services are outside of our control.
12. Data Processing and Privacy
Veridox adheres to GDPR and other applicable laws related to data privacy. For more details on how your data is processed, please see our Privacy Policy. Clients using our platform acknowledge and consent to third-party applications processing their data.
13. Changes to the Agreement
Veridox reserves the right to modify these Terms at any time. We will notify clients of any changes through email or a notice on the platform. Continued use of the platform after such changes constitutes acceptance of the new Terms.
14. Use of Client Logos
Clients agree to allow Veridox to display their company logos on our website and marketing materials to showcase who we work with. This use is strictly limited to indicating that the company is a client of Veridox.
15. Jurisdiction and Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms will be settled in English courts.
